Terms and conditions

Please read through my terms and conditions of service.
The terms of usage includes the acknowledgements and assumed responsibilities of both the customer and Adam Islaam.

1) You


1.1 You have the ability and power to enter into a contract on behalf of your company or organisation.


1.2 You must supply all required content (see 7.1) within an agreed time frame unless otherwise stated.


1.3 Content must be supplied in the format we specify.


1.4 You agree to review, give feedback and sign-off work produced in a timely manner.
1.5 You will be bound by any dates we agree together. You also agree to comply with the payment schedule set out in the engagement letter (see 10)

2) Us

2.1 We have the experience and ability to fulfil the service we are offering and will do so in a professional and timely manner.


2.2 We endeavour to meet all deadlines but take no responsibility for a missed launch or deadline due to the late submission of material/content, or if you have not approved or signed off our work on time at any stage. We will not be responsible for any consequential losses to you if the deadline is not met (see 4.2)


2.3 We are not liable for any losses, be it financial or otherwise, from any breach of our contract. By agreeing to these terms and conditions you indemnify us to the extent that any guarantees provided are incorrect.


2.4 We reserve the right to include third-party contracts on any element of the project.
2.5 We will maintain the confidentiality of all information that you supply under the Data Protection Act 1998.

3) Obligations


3.1 We reserve the right to refuse services for a company or associated service that we feel does not match our ethical or moral views including, but is not exclusive to, companies or sites that promote hate towards any ethnic group, religion or sexual orientation.


3.2 It may not be necessary to have a signature to indicate your acceptance of these terms and conditions. Email communication or other exchanges making it clear that the work specified is required to be carried out shall constitute a contractual agreement of these terms and conditions between yourself and us (see 4.3)

4) Quote


4.1 You agree to the items listed on the engagement letter, any additional items after this period will incur further charges (see 6.0)


4.2 We hold the right to change the delivery date of any given project (see 2.2)


4.3 Work will commence when 50% of the total sum has been received (see 10.3)

5) Design, Print and Coding


5.1 We will create the look, feel, layout and functionality of any given project based on your specifications.


5.2 During the initial design stage you will have the opportunity to combine and merge ideas generated by us until a chosen design has been agreed and signed off by yourself (see 6.1)


5.3 After the initial design stage our design process for all projects consists of one main design and two minor revisions (see 6.1). After this, If you are not happy with the designs at this stage, you will pay us in full for all of the work that we have produced until that point and you may either cancel this contract or continue to commission us to make further design revisions at an hourly rate set out in our engagement letter.


5.4 If the project includes any form of coding (including HTML or CSS) we will conduct tests in all current versions of all major desktop and mobile browsers including those made by Apple, Microsoft, Google, Mozilla and Opera. We will not test in older versions of browsers or Internet Explorer.


5.5 We will recommend print methods and papers as part of the design process, but the total sum does not include printing services.


5.6 Wherever necessary, we will offer to source and liaise on your behalf with a third-party printing service for a one-off fee.

6) Changes and revisions


6.1 Once the chosen design has been signed off (see 5.2) any additional changes during the construction of the chosen design will be charged at an hourly rate, outside of the original total, until signed off once again.


6.2 Any additional items including, but not exclusive to, functionality, additional pages or templates not on the original engagement letter will be charged at an additional one-off fee or an hourly rate.

7) Content


7.1 ‘Content’ refers to anything that is not design-related. This includes text, images and any other information (see 8.1) that we may need to successfully complete the project.


7.2 We are not responsible for mistakes in content that has been provided.


7.3 We aim to not make mistakes ourselves but mistakes may occur.


7.4 Any service relating to e-commerce will mean you are solely responsible for any transaction being carried out legally and fairly/that the security and protection of personal and financial information is maintained.

8) Copyright


8.1 You guarantee to us that any element of text, graphics, photos, designs, trademarks or other item that you provide to us for any design or inclusion is either owned by yourself or that you have permission to use them.


8.2 We require the full balance to be paid for ownership (where specified) to automatically transfer to you with shared copyright between yourself and us (see 10.3). This allows either party to pursue any copyright infringement. Anything before this period solely belongs to us.


8.2.2 Where copyright has not been specified we hold all copyright and reproduction rights.


8.3 Any design element that is not included within the final is our sole copyright and cannot be used.


8.4 You will be sent all master files. We recommend you keep them safe, as we do not have any obligation to store or save your files for future use.


8.5 We own all HTML, CSS and other codes unless stated otherwise. We are licensing them to you for use on only this project.


8.6 We reserve the right to display and link to your completed project as part of our portfolio and to write about the project wherever we see fit including digital and physical publications.

9) Technical Support


9.1 We do not host websites on our servers.


9.2 We will offer to set up an account with a trusted third-party hosting provider and will charge a one-off fee for installing your site on this server, plus any statistics software such as Google Analytics or Mint.


9.3 Updates and management of that server are not our responsibility.


9.4 We are not a web site hosting company and do not offer technical support for your web hosting, email or other services relating to web site hosting. If you do require help with anything beyond the design and development of your site, we are happy to help and will charge you at our hourly rate.

10) Payment


10.1 Payment terms are strictly 30 days once invoiced unless otherwise agreed.


10.2 Payment should be made by electronic transfer or cash.


10.3 We require a 50% deposit and the full balance paid prior to the release of any production ready files.


10.4 We reserve the right to withhold any goods or services until payment has been made.


10.5 Late payments will incur interest in accordance with the Late Payment of Commercial Debts Act 1998. Late payments impinge our ability to service other clients.


10.6 If for any reason we are unable to provide a service or an agreed product in accordance to these terms and conditions our liability shall be limited to a proportional refund of the fees paid by you for the service or product.

11) Privacy policy

• Your details are held in the strictest confidence.


• We will not sell or share any details we obtain working together or through our website with any third-party unless it is necessary to the completion of your project.


• You may receive promotional material including new projects or offers unless stated otherwise. If you decide to change your mind about receiving information you will be given the opportunity to unsubscribe immediately at the bottom of any emailed correspondence.
